These Terms and Conditions (“Terms”) govern your access to and use of the Website, as well as all transportation and logistics services provided by Brightt Solutions LLC (“Brightt Solutions,” “we,” “us,” or “our”).
By accessing the Website, requesting a quote, booking transportation, or entering into any agreement with us, you (“you,” “your,” “Customer,” or “Shipper”) acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and any applicable Rate Confirmation or written contract.
If you do not agree with these Terms, you must immediately discontinue use of the Website and our services.
- Definitions
“Brightt Solutions,” “we,” “us,” “our” Refers to Brightt Solutions LLC, a limited liability company organized under the laws of the State of Iowa, with its principal place of business in Cedar Rapids, Iowa.
“You,” “Customer,” “Shipper” Any individual, business, or entity using the Website or contracting our services.
“Services” All transportation and logistics services provided by Brightt Solutions LLC, including but not limited to: - Box truck and dry van transportation
- 53ft trailer full truckload (FTL) services
- Over-the-road (OTR) and regional Midwest freight
- Less-than-truckload (LTL) services
- Dedicated lanes
- Dispatch coordination, tracking, and customer notifications
“Quote” A non-binding price estimate based on information provided by the Customer.
“Rate Confirmation” Our written acceptance of your booking. Together with these Terms, it forms the binding contract.
“Freight” Goods tendered to us for transportation.
2. Scope of Agreement
These Terms apply to:
- All shipments transported by Brightt Solutions
- All Quotes, Rate Confirmations, and service agreements
- All interactions with our Website
- All communications conducted electronically or by phone
No verbal modification or oral agreement is valid unless confirmed in writing by BGSL.
3. Services Offered
BGSL provides professional freight transportation services primarily operating from Cedar Rapids, Iowa, with coverage across:
- Midwest Region: IA, IL, MN, MO, WI
- Nationwide OTR Capacity: CA, NV, TN, GA, NY, PA, and additional states
Our capabilities include:
- Box truck & dry van transportation with liftgate
- 53ft trailer FTL services
- Regional and OTR routes
- Real-time GPS tracking
- 24/7 dispatch communication
- TWIC & FAST certified drivers for secure facilities
Specific service details, rates, and conditions are outlined in each Rate Confirmation.
4. Booking Process
- Request a Quote Submit shipment details via Website, email, phone, or load board.
- Quote Issuance We provide a non-binding Quote based on available information.
- Booking Acceptance Your booking is confirmed when you accept the Quote and we issue a Rate Confirmation.
- Contract Formation The Rate Confirmation + these Terms = the complete and exclusive agreement.
BGSL reserves the right to refuse any shipment at its sole discretion.
5. Pricing and Payment Terms
Rates Rates exclude taxes, fuel surcharges, tolls, detention, layover, TONU, and other accessorial charges unless stated otherwise.
Payment Terms
- Net 15 days from invoice date unless otherwise agreed
- Overdue balances accrue interest at 1.5% per month (18% APR)
- Accounts past due may be placed on credit hold
- A $50 reconnection fee applies to restore service
Disputed Charges Disputes must be submitted within 7 days of invoice date with supporting documentation.
6. Accessorial Charges
The Customer agrees to pay all applicable accessorial fees, including but not limited to:
- Detention (driver waiting time)
- Layover
- TONU (Truck Ordered Not Used)
- Liftgate service
- Residential delivery
- Inside delivery
- Redelivery
- Storage fees
- After-hours or weekend pickup/delivery
- Additional labor or equipment required
Accessorial charges may be applied even if not listed on the original Rate Confirmation.
7. Shipper Responsibilities and Warranties
The Customer represents and warrants that:
- All shipment information is accurate and complete
- Freight is properly packaged, labeled, and secured
- Freight complies with DOT/FMCSA regulations
- Hazardous materials are fully disclosed and documented
- Customer has legal authority to tender the Freight
- Freight is free of liens or legal claims
Failure to comply voids all liability limitations.
8. Right to Inspect Freight
BGSL reserves the right to:
- Inspect Freight at any time
- Refuse Freight that is unsafe, improperly packaged, mislabeled, or non-compliant
- Reject shipments that pose safety, legal, or operational risks
9. Freight Acceptance and Liability
Shipment Receipt Freight is accepted “as is” unless damage is noted on the Bill of Lading (BOL) at pickup.
Carrier Liability Maximum liability is limited to:
- $2.00 per pound per claimed article, or
- $100,000 per shipment, whichever is lower, unless a higher value is declared and additional charges are paid.
Exclusions We are not liable for:
- Consequential or special damages
- Lost profits or business interruption
- Market fluctuations
- Hidden or concealed damage
10. Force Majeure
We are not liable for delays or failures caused by:
- Weather or natural disasters
- Government actions
- Strikes or labor disputes
- Mechanical breakdown
- Road closures or accidents
- Customs delays
- Any event beyond our reasonable control
11. Insurance
Cargo Insurance Available upon request at additional cost.
Liability Insurance Brightt Solutions maintains commercial auto liability insurance as required by law.
12. Website Usage
The Website is provided “as is” without warranties. You may not:
- Use the Website for illegal purposes
- Scrape data or perform automated extraction
- Attempt to disrupt or overload the Website
We may suspend access without notice.
13. Customer Communication & Electronic Signatures
- Rate Confirmations, invoices, and updates may be sent electronically
- Email acceptance constitutes a legally binding agreement
- Electronic signatures are valid and enforceable
14. Indemnification
You agree to indemnify and hold harmless BGSL, its officers, employees, drivers, and agents from claims arising from:
- Your breach of these Terms
- Inaccurate shipment information
- Non-compliance with hazardous materials regulations
- Third-party claims related to the Freight
15. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the State of Iowa
- Exclusive jurisdiction lies in the state or federal courts of Linn County, Iowa
- Parties agree to attempt good-faith negotiation before litigation
- The prevailing party is entitled to reasonable attorneys’ fees
16. Limitation of Actions
All claims must be filed within 9 months of the event or they are permanently barred.
17. No Waiver
Failure by BGSL to enforce any provision does not constitute a waiver of rights.
18. Severability
If any provision is deemed invalid, the remaining provisions remain fully enforceable.
19. Amendments
Brightt Solutions LLC reserves the right to modify, update, or revise these Terms and Conditions at any time, at its sole discretion. Any changes will become effective immediately upon being posted on the Website, unless a later effective date is specified. Your continued use of the Website or our services after the updated Terms are posted constitutes your acceptance of the revised Terms.
20. Entire Agreement
These Terms, together with the Rate Confirmation, constitute the entire agreement between the parties. No oral modifications are valid.
